Sustainability Report in Compliance with Türkiye Sustainability Reporting Standards 1 and 2 (TSRS S1–S2)
As of the Board Decision of Kamu Gözetim Kurumu (KGK), dated December 16, 2024, companies meeting specific criteria are obligated to report in accordance with the Türkiye Sustainability Reporting Standards (TSRS). This regulation requires businesses to disclose their environmental, social, and governance (ESG) impacts transparently, comparably, and in a monitorable manner. International Sustainability Reporting Standards (ISSB), which is a part of the International Financial Reporting Standards (IFRS) Foundation, recently issued two International Sustainability Reporting Standards (ISRS) on sustainability reporting.   The ISSB’s objective is to create a comprehensive global baseline of sustainability-related disclosure standards to meet the information needs of investors and other capital market participants.

The ISSB is building on the work of existing sustainability standards and frameworks, such as the Sustainability Accounting Standards Board (SASB) and the Task Force on Climate-related Financial Disclosures (TCFD) with the aim to:

  1. Improve Comparability: Provide a consistent and comparable framework for sustainability reporting across different jurisdictions.
  2. Enhance Transparency: Increase transparency in how companies report their sustainability performance, enabling better decision-making by investors.
  3. Address Investor Needs: Focus on information that is material to investors, ensuring that sustainability data is relevant to investment decisions.
  4. Support Global Adoption: Work towards widespread adoption and implementation by companies around the world, encouraging consistent reporting practices.

The two new sustainability reporting standards are as follows:

  1. IFRS S1 General Requirements for Disclosure of Sustainability-related Financial Information: This standard establishes the overall requirements for entities to disclose sustainability-related financial information that is material to the primary users of general-purpose financial reporting. It aims to provide a consistent and comparable framework for disclosing how sustainability issues impact an entity’s financial position, performance, and prospects.
  2. IFRS S2 Climate-related Disclosures: This standard focuses specifically on climate-related disclosures. It requires entities to provide information about their exposure to climate-related risks and opportunities, including governance, strategy, risk management, and metrics and targets. The aim is to enhance transparency around how climate-related issues are managed and their potential impact on the entity’s financial position and performance.

These standards are intended to help investors and other stakeholders better understand how sustainability issues, including climate change, affect the financial health and long-term viability of entities. They are designed to be used in conjunction with each other, providing a comprehensive approach to sustainability-related financial disclosures.

In addition to global sustainability reporting standards such as IFRS S1 and S2, Türkiye has introduced its own national standards through the Turkish Sustainability Reporting Standards (TSRS) framework, issued by the Public Oversight, Accounting and Auditing Standards Authority (KGK). TSRS 1 establishes general principles for sustainability-related disclosures, while TSRS 2 focuses on climate-related reporting, aligning closely with ISSB standards. KGK (Kamu Gözetimi Kurumu)
The Public Oversight, Accounting, and Auditing Standards Authority in Türkiye (KGK) sets and enforces national accounting and auditing standards, conducts oversight of auditors, and ensures compliance with financial reporting regulations to protect public interest and maintain trust in the financial system.

TSRS (Türkiye Sürdürülebilirlik Raporlama Standardı)
The Türkiye Sustainability Reporting Standard is a national framework for companies in Türkiye to disclose their sustainability performance. It aligns with international ESG principles while considering Türkiye’s local regulations, market context, and priorities in sustainable development.

CBAM (Carbon Border Adjustment Mechanism)
The Carbon Border Adjustment Mechanism is an EU policy designed to put a carbon price on certain imported goods to prevent “carbon leakage.” It requires importers to report the embedded greenhouse gas emissions in their products and purchase CBAM certificates, ensuring that EU and non-EU producers face similar carbon costs.

ESRS (European Sustainability Reporting Standards)
The European Sustainability Reporting Standards define the detailed requirements for companies to disclose sustainability information under the EU’s Corporate Sustainability Reporting Directive (CSRD). They cover environmental, social, and governance (ESG) topics and ensure that sustainability data is consistent, comparable, and reliable across companies.

CSDDD (Corporate Sustainability Due Diligence Directive)
The Corporate Sustainability Due Diligence Directive obliges certain large companies operating in the EU to identify, prevent, and address adverse human rights and environmental impacts in their operations and supply chains. It introduces binding due diligence processes, reporting, and accountability measures.
